§ 1 Scope and contracting party
These terms apply to contracts between Strukturwerk GbR, [insert address], Germany (“Provider”) and users of the heydexter.io platform (“Customer”). Deviating terms of the Customer do not apply unless we expressly agree in writing.
A “consumer” means any natural person entering into a transaction for purposes mainly outside their trade, business or profession (Section 13 BGB).
§ 2 Subject matter
We provide the cloud platform heydexter.io to configure and operate AI assistants, including integration with messengers such as WhatsApp Business (as available).
The specific scope of features depends on the product description on heydexter.io at the time of use and/or the selected plan.
§ 3 Registration, contract formation and account
Use requires registration and acceptance of these terms. The usage contract is formed when registration is completed.
The Customer must provide accurate information and keep credentials confidential. We may suspend accounts in case of misuse or breach of these terms or applicable law.
§ 4 Service scope and plans
We offer in particular a Freemium plan and a Premium plan (as of May 2026: Premium EUR 9.99 per month including statutory VAT where applicable).
We may evolve features and add new functionality. The Customer’s statutory warranty rights under the German Civil Code (BGB) remain unaffected.
§ 5 Prices and payment
Prices shown on the website apply. Payments are processed via Stripe. For subscriptions, you revocably authorise us to collect recurring payments.
In case of default we may suspend access and terminate for cause after a reasonable reminder period where legally required.
§ 6 Term, renewal and termination
Subscriptions renew for the agreed period unless terminated in time.
You may terminate a subscription at the end of the current billing period. Extraordinary termination for cause remains unaffected.
After the contract ends, personal data is deleted as described in the privacy policy, subject to statutory retention.
§ 7 Right of withdrawal for consumers
Consumers may have a statutory right of withdrawal where applicable. The right may lapse for contracts concerning digital content if we begin performance after you expressly requested us to begin before the withdrawal period ends and you acknowledged that you lose your right once performance is complete.
Withdrawal information and a model form are provided before contract conclusion (e.g. in the upgrade/checkout flow).
§ 8 Customer duties, acceptable use, Meta/WhatsApp
You must use the platform lawfully and in line with these terms. Prohibited conduct includes illegal content, harassment, spam, deception, infringement of third-party rights, and actions that harm security or integrity.
When using WhatsApp Business and other Meta services you must comply with Meta policies, including the WhatsApp Business Policy, Commerce Policy and Community Standards. We may discontinue services or suspend accounts if you violate Meta policies or applicable law.
§ 9 Availability
We strive for high availability but do not guarantee uninterrupted access. Maintenance, technical faults or force majeure may cause temporary interruptions.
§ 10 Liability
We have unlimited liability for intent and gross negligence and for injury to life, body or health.
For ordinary negligence we are liable only for breach of material contractual obligations and limited to foreseeable, typical damages.
Liability for lost profits or indirect damages in cases of ordinary negligence is excluded to the extent permitted by law. Liability for AI-generated output relates to the platform we provide; you remain responsible for lawful use towards end users and platform operators.
§ 11 Privacy

§ 12 Changes to these terms
We may change these terms with future effect. We will notify you by email or in-app notice at least six weeks in advance. If you do not object within six weeks of receipt, the new terms are deemed accepted; we will inform you of this consequence.
§ 13 Final provisions
German law applies, excluding the UN Sales Convention. Mandatory consumer protection rules of the state where you habitually reside remain unaffected.
If the Customer is a merchant, legal entity under public law or special fund under public law, the place of business of the Provider is the place of jurisdiction for all disputes, where permitted.
